SECRECY, CONFIDENTIALITY AND ASSIGNMENT OF RIGHTS AGREEMENT

By this agreement, on one side TERRACONNECT TECHNOLOGIES ("CONTRACTING PARTY"), and on the other side the party qualified in the form below ("CONTRACTOR"), agree and commit, during the entire validity of the relationship, as well as in the one hundred and twenty months subsequent to its termination, under the terms of Law 9279/1996 (Brazilian Industrial Property Law), to:

• ONE: Maintain absolute secrecy, whether written or verbal, of any and all scientific, industrial, source code (IoT, Dashboards), and telemetry information regarding all materials obtained with their participation or of which they have knowledge by virtue of their relationship with the Company;
• TWO: Acknowledge that all documents, repositories, databases, 3D modeling, and manuscripts related to research and inventions are the exclusive property of the CONTRACTING PARTY;
• THREE: Acknowledge and agree that all rights to ideas, creations, and utility models (including PCB layouts, automation schematics, and API integrations) developed as a result of knowledge obtained are the exclusive property of the CONTRACTING PARTY;
• FOUR: Acknowledge and agree that all hardware prototypes, sensors, and other materials of any nature obtained due to the provision of services are the exclusive property of the CONTRACTING PARTY;
• FIVE: Not breach any of the clauses, being aware of all applicable civil and criminal effects and sanctions, including the Brazilian Environmental Crimes Law if fauna data is improperly exposed.

This agreement shall be effective upon its digital signature below, retroacting to the beginning of the negotiations between the parties.
